WiseTech Global Ltd to acquire E2open Parent Holdings Inc. for USD 2.1 billion. The acquiree provides supply chain management software. The transaction was revealed recently.
Headquartered in Austin, E2open offers a cloud-based platform that supports over 6,000 organizations in coordinating and managing their supply chains. Its client roster houses major corporations like Cisco Systems Inc. and Dell Technologies Inc. E2open claims to process more than 18 billion transactions annually for these customers.
The platform connects users to a global network of logistics providers across land, sea, rail, and air. Businesses can arrange shipments through a centralized interface, and the system also features a freight consolidation tool—allowing companies to combine multiple packages into a single shipment to reduce costs.
E2open’s platform also functions as a merchandise tracking tool, allowing companies to monitor the location of shipments in real time and identify potential delivery delays. According to the company, the system can assess the business impact of such disruptions and suggest corrective actions.
Delays in product arrivals can stem not only from transportation issues but also from problems with upstream suppliers. E2open states that its platform offers analytics capabilities designed to help businesses anticipate these risks. It can detect potential inventory shortages, product quality concerns, and other issues that may require adjustments to the supply chain.
WiseTech operates in the same logistics software space, offering its own solution called CargoWise. This platform helps enterprises oversee the movement of products across their supply chains. With CargoWise, logistics teams can evaluate shipping providers based on available equipment, manage distribution centers, and carry out other related operations.
WiseTech’s USD 2.1 billion bid for E2open values the company at USD 3.30 per share, representing a 68% premium over E2open’s stock price before acquisition news surfaced earlier this month. The deal follows a strategic review initiated by E2open last year in response to slowing revenue growth and mounting pressure from an activist investor.
“E2open and WiseTech have complementary products across transport, logistics, supply and demand ecosystems,” said E2open Chief Executive Officer Andrew Appel.
WiseTech has secured USD three billion in debt financing to fund the acquisition. The company has also gained support from a group of E2open shareholders who collectively hold a majority of the company’s voting rights. WiseTech aims to finalize the acquisition by the end of 2025 and projects that it will enhance earnings per share within the subsequent year.
